The April 2026 Umbrella Liability Shift

If you are currently managing major residential or infrastructure projects across the North West and Yorkshire, the regulations have just taken a significant turn.

From April 6, 2026, the UK government officially implemented the Umbrella Joint & Several Liability (JSL) rules. For many in the construction sector, this represents the most significant shift in financial risk management since the 2021 IR35 reforms.

The new reality: "Strict Liability"

In the past, if an umbrella company defaulted, HMRC's primary target was the umbrella itself.

Under the new rules, if the umbrella cannot pay or disappears, the liability transfers to the next party in the chain — in most cases, the recruitment agency. However, where there is no agency in the supply chain, or where the agency is connected to the umbrella company, that liability can land directly on your balance sheet.

HMRC has made it clear that lack of awareness is no longer a legal defence. This is a Strict Liability regime, meaning you can be held responsible even if you acted in good faith but failed to perform adequate due diligence.

Why construction carries a heightened risk

The JSL rules apply across all sectors where umbrella companies are used — HMRC estimates around 700,000 workers nationwide are affected. However, construction faces additional, sector-specific exposure for three reasons:

1. Supply Chain blind spots: Long chains of subcontractors make it easier for non-compliant mini-umbrellas to hide.

2. High Volume: The scale of labour required for North West regeneration projects makes the sector a high-value target for tax recovery.

3. The Knew or Should Have Known Test: New CIS (Construction Industry Scheme) updates now allow HMRC to revoke your Gross Payment Status (GPS) for five years if they can prove you should have been aware of fraud-connected noncompliance in your supply chain.

The April 2026 Umbrella Liability Shift
